These Terms of Use (“Terms”) govern your access to and use of the Studio247 website, studio workspaces, streaming and media features, and related online services (collectively, the “Service”) operated by Company and its affiliates (“we”, “us”, or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Continued use after changes constitutes acceptance of the revised Terms.
The Service is a multi-tenant platform for media management, transcoding, automated playout, streaming, broadcasting, and studio collaboration. Capabilities available to you depend on your account, studio membership, and the features enabled for each studio (for example playlists, programming shows, knowledge base, forum, organisations, talent applications, streaming, or API access). You must be able to form a binding contract in your jurisdiction and meet any minimum age we require under applicable law. You are responsible for ensuring that your use complies with the laws that apply to you, including laws relating to copyright, broadcasting, and recorded music where relevant.
To use certain features you must register an account and, where applicable, be invited to or granted access to one or more studios. You agree to provide accurate, current information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Studio administrators may assign roles that control what you can do within a studio. Notify us promptly via the contact page if you suspect unauthorised access. We may offer security features (such as two-factor authentication); you are encouraged to use them where available.
You agree not to:
We may investigate suspected violations and cooperate with law enforcement or right holders where required.
You may submit or display content through the Service (for example media files, metadata, artwork, forum posts, knowledge-base articles, talent applications, profile information, and similar material) (“User Content”). You retain ownership of your User Content, subject to the licence below. You represent that you have the rights necessary to submit User Content (including performance, mechanical, and neighbouring rights where applicable) and that it does not violate these Terms or applicable law.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (including for transcoding and technical processing), display, stream, and distribute User Content as reasonably necessary to operate, improve, and promote the Service, including within the studios and domains you configure. You may withdraw User Content by deleting it or closing your account where the Service allows; some copies may persist in backups, caches, or CDN edge nodes for a limited period.
Uploaded media may be processed by automated pipelines (for example transcoding, normalisation, or thumbnail generation). Streaming and playout may be orchestrated by components such as Liquidsoap according to studio configuration. Output quality, availability, and latency depend on infrastructure, your content, and third-party networks; we do not guarantee uninterrupted broadcast.
Where we provide APIs, tokens, webhooks, or custom-domain endpoints, additional technical or contractual rules may apply. You must not misuse credentials, exceed fair use, or use integrations in a way that harms the Service, other users, or third parties. Listener counts, playout logs, and similar operational data may be incomplete or delayed.
If you administer a studio, you are responsible for how that studio is used, for invitations and role assignments you make, and for content published under your studio’s domains or players. Custom domains require DNS verification; you must only point domains you control. Public apply pages and other white-label surfaces may collect information from applicants on your behalf; you must handle that data lawfully and in line with your own notices where required.
The Service, including its design, software, branding, and our original content (excluding User Content and third-party materials), is owned by us or our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not copy, modify, distribute, or create derivative works from our materials without prior written consent, except as allowed by mandatory law.
The Service may link to or integrate third-party sites or services (for example Discord, analytics, object storage, captcha providers, or authentication). Those services have their own terms and privacy practices. We are not responsible for third-party content or conduct.
We may modify, suspend, or discontinue features or the Service (in whole or in part) with or without notice. We are not liable for any change, suspension, or loss of data except where law does not permit exclusion.
We may suspend or terminate your access if you breach these Terms, if we must comply with law, or to protect the Service or users. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and governing law) will survive termination.
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that streams, schedules, or processed media will meet your technical or legal requirements.
To the fullest extent permitted by applicable law, we and our directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) one hundred Australian dollars (AUD $100), if you have not paid fees. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
You agree to indemnify and hold harmless us and our affiliates, and our respective directors, employees, and agents, from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your administration of a studio, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.
Our collection and use of personal information is described in our Privacy Policy, which forms part of your agreement with us.
Governing law. These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia sitting in New South Wales.
Entire agreement. These Terms, together with the Privacy Policy and any additional terms we present for specific features, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
No waiver. Failure to enforce any provision is not a waiver of our rights.
